Sotera Acquires Software Process Technologies, Inc.

Sotera Defense Solutions (Sotera), a provider of mission-critical, technology-based systems, solutions and services for national security agencies and programs of the U.S. government, recently announced that it entered into a definitive agreement to acquire Software Process Technologies, Inc. (SPT) on August 8, 2011. SPT delivers a range of mission-focused, specialized software engineering capabilities to support the cyber intelligence missions of its customers.

John Hillen, Sotera's President & CEO, stated, "SPT, with a strong software engineering pedigree and expertise in content exploitation and defense analytics, combined with its strong culture of innovation, is a natural fit for Sotera and the company's addition is a key element in fulfilling our vision to become a leading mid-size, mission-focused partner for our national security customers. Adding SPT to our team doubles our presence in the Ft. Meade, Md. area and further expands our capabilities in the growing areas of cyber intelligence and cyber operations.  We look forward to leveraging these new capabilities to provide even greater mission support to our customers."

Based in Columbia, Md., the company has grown rapidly and employs approximately 140 professionals in the Ft. Meade, Md. area. The company expects to generate approximately $35 million in 2011 revenue and its outstanding financial performance is driven by its unique solutions focus, leading edge technical expertise and direct exposure to programs addressing the pressing mission requirements of the cyber community.

Terms of the deal were not disclosed and Sotera expects the transaction to close in September 2011. Houlihan Lokey served as the advisor to SPT on the transaction.
