Security and smart home services provider ADT has entered into an agreement to be acquired by Thrive Holdings in an all-cash transaction valued at $15.3 billion.
The agreement values the security giant at roughly $7.6 billion in equity. ADT’s board of directors has unanimously approved the deal, which will transition the company from a publicly traded firm to a privately held business upon completion.
Under the terms of the merger, ADT will establish the foundation of Thrive Holdings’ smart home security division. The holding firm, which maintains a portfolio spanning IT services, accounting and facilities management, stated that ADT's existing data and privacy frameworks will remain unchanged, with no new data sharing permitted without customer consent.
Financing commitments are provided by funds managed by affiliates of Apollo Global Management Inc. The transaction is not contingent on financing conditions, though it remains subject to customary closing requirements, including antitrust clearance in the U.S. and a vote by ADT stockholders.
A 30-day "go-shop" provision is included in the purchase agreement, allowing ADT to actively solicit competing bids from third parties, with an option to extend the window by 10 days under specific conditions. ADT reserves the right to terminate the current pact if a superior proposal emerges.
ADT will continue independent operations until the purchase finalizes. The acquisition is scheduled to close in the first quarter of 2027.
